Welcome to TRUSTEE ONLINE, providing 24/7 education for hospital and health care trustees. The Governing Board and the CEO module is one in a series of nine different modules.

Good governance is the foundation on which great organizations are built. Having committed leaders who understand their roles in establishing policies and direction to fulfill the organization’s mission and vision is essential. Because the board delegates the authority for day-to-day operations, having a strong, effective chief executive officer to lead and oversee the management team is critical.

Understanding the appropriate roles of the governing board and the CEO/management team is important. In general, governing boards set policy and direction, while the CEO and his/her management team oversee daily operations within the parameters established by the board. However, in some organizations, the CEO has dual responsibilities as either a member or ex officio member of the board and as leader of the management team. Governing and managing are separate but complementary functions. Governance looks forward, sets expectations and provides responsible oversight. Management works to meet expectations and achieve performance goals. While governance and management have specific roles, the board and the CEO/management team must work together effectively to achieve the mission, vision and goals of the hospitals.
